Agreement Overview
These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and Agoravibe, a division of Ebus Holding("Company," "we," "us," or "our") governing your access to and use of our website, platform, and services (collectively, the "Services").
By accessing, browsing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Services.
Our website, platform, mobile applications, APIs, and all related services provided by Agoravibe, including but not limited to storefront creation, product management, order processing, and payment facilitation.
User, You, Your:
Any individual or entity that accesses or uses our Services, including customers, vendors, sellers, and visitors.
Vendor/Seller:
A User who creates a storefront and sells products or services through our platform.
Customer/Buyer:
A User who purchases products or services from Vendors through our platform.
User Content:
Any content, data, information, text, images, videos, or other materials uploaded, posted, or transmitted by Users through our Services.
Account:
A registered account created by a User to access and use our Services.
2. Acceptance of Terms
By accessing, using, or registering for our Services, you represent and warrant that:
You are at least 18 years old or the age of majority in your jurisdiction
You have the legal capacity and authority to enter into this Agreement
You will comply with all applicable laws and regulations
All information you provide is accurate, current, and complete
You will maintain the security of your account credentials
If you are using our Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
3. Eligibility and Account Registration
3.1. Account Creation
To access certain features of our Services, you must create an account. When creating an account, you agree to:
Provide accurate, current, and complete information
Maintain and promptly update your account information
Maintain the security and confidentiality of your account credentials
Notify us immediately of any unauthorized access or use of your account
Accept responsibility for all activities that occur under your account
3.2. Account Security
You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.
3.3. Multiple Accounts
You may not create multiple accounts to circumvent platform limits, restrictions, or fees. We reserve the right to suspend or terminate accounts that violate this provision.
4. Description of Services
Agoravibe provides an e-commerce platform that enables Users to:

Create and customize online storefronts
Manage product catalogs and inventory
Process orders and payments
Access analytics and reporting tools
Manage customer relationships
Create discounts and promotional campaigns
Integrate with shipping and logistics providers
Use marketing tools and services (optional)
Customize store themes and branding
Access mobile-optimized storefronts
4.2. For Customers/Buyers
Browse and search for products from multiple vendors
Make purchases through vendor storefronts
Create accounts to track orders and manage preferences
Access customer support services
4.3. Platform Features
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We do not guarantee that our Services will be available at all times or that they will be error-free.
5. Pricing and Payment Terms
5.1. Subscription Plans
Free Plan (Starter)

Pro Plan — Seller+
₵100/month
Unlimited products
Optional Add-ons: Marketing Boost (₵300/month), Full Growth Management (₵800/month)
5.2. Payment Terms
Subscription fees are billed monthly in advance
Payments are processed in Ghana Cedis (₵) or equivalent local currency
All fees are non-refundable except as required by law or as specified in our Refund Policy
We reserve the right to change pricing with 30 days' written notice
Failure to pay may result in service suspension or termination
You are responsible for all applicable taxes
5.3. Transaction Fees
We may charge transaction fees on sales processed through our platform. These fees will be clearly disclosed before you complete a transaction.
6. User Responsibilities
6.1. Vendor/Seller Responsibilities
As a Vendor, you are responsible for:
Maintaining accurate and complete product information, including descriptions, images, and pricing
Setting fair and transparent pricing
Fulfilling orders in a timely and professional manner
Providing accurate shipping and delivery information
Handling customer inquiries and complaints professionally and promptly
Complying with all applicable laws, regulations, and industry standards
Obtaining all necessary licenses, permits, and authorizations
Ensuring products comply with safety and quality standards
Maintaining appropriate insurance coverage
All activities that occur under your account
6.2. Customer/Buyer Responsibilities
As a Customer, you are responsible for:
Providing accurate billing and shipping information
Making timely payments for purchases
Reviewing product information before purchasing
Complying with vendor return and refund policies
Using products in accordance with their intended purpose and applicable laws
7. Prohibited Activities
The following activities are strictly prohibited and may result in immediate account termination, legal action, or both:
7.1. Illegal Activities
Selling illegal, counterfeit, stolen, or unauthorized products
Engaging in fraudulent activities, money laundering, or financial crimes
Violating any applicable laws or regulations
7.2. Platform Abuse
Misrepresenting products, services, or business information
Infringing on intellectual property rights (copyrights, trademarks, patents)
Harassing, threatening, or harming other Users
Attempting to hack, disrupt, or interfere with our Services
Creating multiple accounts to circumvent limits or fees
Using automated systems to access our Services without authorization
Scraping, crawling, or extracting data from our platform
7.3. Content Restrictions
Uploading malicious code, viruses, or harmful software
Posting false, misleading, or defamatory content
Violating privacy rights of others
Posting content that is discriminatory, hateful, or offensive
8. Intellectual Property Rights
8.1. Our Intellectual Property
The Services, including all software, designs, text, graphics, logos, trademarks, and other content, are owned by Ebus Holding or its licensors and are protected by copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, sell, lease, or create derivative works based on our Services or any part thereof without our express written permission.
8.2. Your Intellectual Property
You retain ownership of all intellectual property rights in User Content you upload to our Services. However, by uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and distribute such content as necessary to provide and promote our Services.
9. User Content and License
9.1. Content Standards
You are solely responsible for all User Content you upload, post, or transmit through our Services. You represent and warrant that:
You own or have the necessary rights to use and license the User Content
User Content does not infringe on any third-party rights
User Content complies with all applicable laws and these Terms
User Content is accurate and not misleading
9.2. Content Moderation
We reserve the right, but not the obligation, to review, edit, or remove any User Content that violates these Terms or is otherwise objectionable. We may also suspend or terminate accounts that repeatedly violate our content policies.
10. Termination
10.1. Termination by You
You may terminate your account at any time by:
Using the account deletion feature in your dashboard settings
Contacting us at info@ebusholding.com
Upon termination, you will retain access until the end of your current billing period. After termination, we may delete your account and User Content in accordance with our data retention policies.
10.2. Termination by Us
We reserve the right to suspend or terminate your account immediately, without notice, if you:
Violate these Terms of Service
Engage in prohibited activities
Fail to pay subscription fees
Are inactive for an extended period (as determined by us)
Pose a security risk or legal liability
10.3. Effect of Termination
Upon termination, your right to use our Services immediately ceases. Sections of these Terms that by their nature should survive termination (including but not limited to intellectual property, disclaimers, limitation of liability, and indemnification) will survive termination.
11. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
Warranties of merchantability, fitness for a particular purpose, or non-infringement
Warranties that our Services will be uninterrupted, error-free, or completely secure
Warranties regarding the accuracy, reliability, or quality of information obtained through our Services
Warranties that defects will be corrected
We do not warrant or guarantee the quality, safety, legality, or accuracy of products or services sold by Vendors through our platform. We are not responsible for transactions between Users.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AGORAVIBE, EBUS HOLDING, OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
Loss of profits, revenue, or business opportunities
Loss of data or information
Business interruption
Cost of substitute goods or services
Personal injury or property damage
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.
13. Indemnification
You agree to indemnify, defend, and hold harmless Agoravibe, Ebus Holding, and their officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
Your use or misuse of our Services
Your violation of these Terms
Your violation of any rights of another User or third party
Your User Content
Your products or services sold through our platform
14. Dispute Resolution
14.1. Informal Resolution
Before filing a formal claim, you agree to contact us at info@ebusholding.com to attempt to resolve any dispute informally. We will attempt to resolve disputes within 30 days.
14.2. Binding Arbitration
If we cannot resolve a dispute informally, you agree that any dispute arising out of or relating to these Terms or our Services will be resolved through binding arbitration administered by the Ghana Arbitration Centre, rather than in court.
14.3. Class Action Waiver
You agree that disputes will be resolved individually and not as part of a class, consolidated, or representative action.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana, unless otherwise agreed in writing.
16. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
Posting the updated Terms on this page with a new "Last updated" date
Sending an email notification to registered users (for significant changes)
Displaying a notice on our Services
Your continued use of our Services after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using our Services and terminate your account.
